Ridge Yield provides digital growth marketing services to fintech, financial services, and financial technology companies, including but not limited to:

  • Precision paid media (including search, social, and programmatic advertising)
  • Performance creative (including creative strategy, video and motion design, ad copywriting, and landing page design)
  • Growth strategy and acquisition consulting
  • B2B fintech demand generation
  • Conversion rate optimization, attribution modeling, and measurement

The specific scope of Services will be defined in a written statement of work, proposal, or other mutually agreed-upon engagement document (each, a "SOW").

3. Client Responsibilities

When engaging Ridge Yield for Services, you agree to:

  • Provide accurate, complete, and current information necessary for the delivery of Services.
  • Provide timely access to relevant accounts, platforms, data, and personnel required for the engagement.
  • Obtain and maintain any necessary rights, consents, and approvals for materials, data, and content you provide to us.
  • Comply with all applicable laws, regulations, and industry standards, including those governing financial services, advertising, data protection, and consumer protection.
  • Obtain appropriate internal and external approvals (including legal and compliance approvals) for all marketing materials and campaigns.

4. No Legal, Regulatory, Investment, Tax, or Compliance Advice

Ridge Yield is a marketing services provider. We do not provide legal, regulatory, investment, tax, or compliance advice. Any recommendations, insights, or materials provided in connection with the Services are for marketing and business purposes only and do not constitute professional advice of any kind. Clients remain solely responsible for obtaining appropriate internal and external approvals and for ensuring compliance with all applicable laws and regulations.

5. Intellectual Property

5.1 Ridge Yield Content

The Website and all content, materials, text, graphics, logos, images, videos, designs, software, and other intellectual property (collectively, "Ridge Yield Content") are owned by Ridge Yield or its licensors and are protected by applicable intellectual property laws. You may not copy, reproduce, modify, distribute, display, or create derivative works of Ridge Yield Content without our prior written consent, except as expressly permitted by these Terms.

5.2 Client Materials

You retain ownership of all materials, data, content, and information that you provide to Ridge Yield ("Client Materials"). You grant Ridge Yield a non-exclusive, royalty-free, worldwide license to use, reproduce, and modify Client Materials solely for the purpose of providing the Services.

5.3 Deliverables

Subject to full payment of applicable fees, Ridge Yield assigns to the client all ownership rights in the work product, deliverables, and materials specifically created by Ridge Yield for the client under an executed SOW ("Deliverables"), except that Ridge Yield retains ownership of any pre-existing materials, tools, methodologies, and know-how used in creating such Deliverables.

6. Fees and Payment

Fees and payment terms for Services will be set forth in the applicable SOW or other written agreement. Unless otherwise specified:

  • Fees are payable in accordance with the terms set out in the applicable SOW.
  • Invoices not paid when due may be subject to late fees as described in the SOW or applicable law.
  • Ridge Yield may suspend or withhold Services if fees are not paid when due.
  • Unless expressly stated otherwise, all fees are exclusive of applicable taxes, and you are responsible for any taxes arising from your use of the Services.

7. Confidentiality

Each party may disclose to the other confidential information (including business, technical, financial, and strategic information). The receiving party agrees to:

  • Keep such confidential information confidential.
  • Use it solely for purposes related to the Services.
  • Not disclose it to third parties except to employees and contractors who need to know and are bound by confidentiality obligations.
  • Protect it with the same degree of care used to protect its own confidential information, and no less than reasonable care.

These confidentiality obligations survive the termination of these Terms.

8. Disclaimer of Warranties

The Website and Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Ridge Yield disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Ridge Yield does not warrant that:

  • The Website or Services will be uninterrupted, secure, or error-free.
  • The results obtained from the use of the Services will meet your specific objectives.
  • Any particular marketing or business outcome will be achieved.

Any case studies, metrics, or illustrative results presented on the Website represent specific client experiences and are not a guarantee of future performance.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Ridge Yield shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to lost profits, lost revenue, lost data, or loss of goodwill, arising out of or related to your use of the Website or Services.

To the maximum extent permitted by applicable law, Ridge Yield's aggregate liability arising out of or relating to these Terms or the Services shall not exceed the total fees paid by you to Ridge Yield for the Services giving rise to the claim during the twelve (12) months preceding the event giving rise to the liability.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Ridge Yield and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Website or Services.
  • Your breach of these Terms.
  • Your violation of any applicable law or regulation.

16. Entire Agreement

These Terms, together with any applicable SOW and other written agreements, constitute the entire agreement between you and Ridge Yield regarding your use of the Website and Services and supersede any prior agreements, understandings, or representations.

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.
